SHAREball - Automatic Distribution Protocol

1. Introduction

Welcome to SHAREball Protocol ("SHAREball", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the SHAREball protocol, website, Telegram bot, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Protocol Description

SHAREball is a decentralized protocol built on the Solana blockchain that enables automated and irreversible fee distribution for token projects. The protocol operates through smart contracts that, once activated, cannot be stopped, paused, or modified by any party.

IMPORTANT: Once you activate SHAREball for your token, the distribution process becomes permanently automated and irreversible. No one, including SHAREball team members, can stop or modify the distributions after activation.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. By using the Services, you represent and warrant that you meet these requirements.

You are responsible for ensuring that your use of the Services complies with all applicable laws and regulations in your jurisdiction.

4. User Responsibilities

4.1 Wallet Security

You are solely responsible for maintaining the security of your wallet and private keys. SHAREball is a non-custodial protocol and never has access to your funds or private keys. Any loss of access to your wallet is your sole responsibility.

4.2 Configuration Accuracy

When configuring distribution rules through the Telegram bot, you are responsible for ensuring all parameters are correct before activation. Due to the irreversible nature of the protocol, configuration errors cannot be corrected after activation.

4.3 Compliance

You agree to use the Services only for lawful purposes and in compliance with all applicable laws, regulations, and these Terms. You will not use the Services to facilitate any illegal activities.

5. Risks and Disclaimers

PLEASE READ THIS SECTION CAREFULLY. IT CONTAINS IMPORTANT INFORMATION ABOUT THE RISKS ASSOCIATED WITH USING SHAREBALL.

5.1 Smart Contract Risks

While our smart contracts have been audited, blockchain technology and smart contracts are still relatively new and unproven. Bugs, vulnerabilities, or unexpected behavior may exist despite our best efforts.

5.2 Irreversibility

The irreversible nature of SHAREball is a core feature but also carries risk. Configuration errors, market conditions, or other unforeseen circumstances cannot be addressed by stopping or modifying distributions after activation.

5.3 Market Volatility

Cryptocurrency markets are highly volatile. The value of distributed tokens and $SHAREball can fluctuate significantly. You may lose some or all of your investment.

5.4 Regulatory Risk

The regulatory environment for cryptocurrencies is evolving and uncertain. Changes in laws or regulations may affect your ability to use the Services or hold cryptocurrency.

5.5 No Guarantees

While SHAREball automates distribution, we make no guarantees about the value, liquidity, or future performance of any tokens involved. Past performance does not indicate future results.

6. Fees

SHAREball charges a 0.1% protocol fee on all transactions processed through the system. This fee is automatically used to buy and burn $SHAREball tokens from the open market. This fee structure is immutable and cannot be changed after protocol activation.

You are also responsible for any gas fees charged by the Solana network for executing transactions.

7. No Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure. We do not warrant that any bugs or defects will be corrected.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHAREBALL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED $100 USD.

9. Indemnification

You agree to indemnify, defend, and hold harmless SHAREball and its affiliates, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another party.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.

11. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. However, due to the decentralized and irreversible nature of the protocol, activated distributions will continue to operate regardless of service access termination.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of [Arbitration Organization].
